🏢 Business Structure & Contractor Status

PsionOps operates as an independent contractor and sole trader. We are a boutique, privately operated business. It is not a limited company, not an agency, and not an employee of any client. All services are delivered on a project or retainer basis under a direct contractual relationship between PsionOps and the client. No work is subcontracted without prior written agreement.

📋 Service Terms & Agreements

All projects begin with a clearly defined scope of work agreed in writing before any work commences. Scope changes, additions, or modifications requested during a project may be subject to revised pricing and timeline. PsionOps will communicate any such changes before proceeding.

• Written agreement (email confirmation or formal contract) required before project start
• Fixed-price projects are scoped and agreed upfront; any out-of-scope work is quoted separately
• Hourly engagements billed against agreed rate with regular progress updates
• PsionOps reserves the right to pause or terminate work if agreed payment terms are not met
• Any disputes are to be raised in writing within 14 days of delivery

💳 Payment Terms

Payment terms are specified in each project agreement. Standard terms are net 30 from invoice date unless otherwise agreed. For new clients or larger projects, a deposit of up to 50% may be required before work begins. PsionOps accepts payment in USD and GBP.

• Late payments beyond agreed terms may incur a late fee of 5% per 30-day period overdue
• All invoices are issued electronically in USD or GBP as agreed

🔐 Intellectual Property & Ownership

Upon receipt of full payment, all original work product created specifically for a client, including code, designs, written content, and deliverables, transfers to the client under full ownership. PsionOps retains no ongoing rights to client-specific work post-payment, unless a licensing arrangement is explicitly agreed.

• Client receives full ownership of bespoke deliverables upon full payment
• PsionOps retains ownership of pre-existing tools, frameworks, and proprietary systems used in delivery
• Open-source components remain subject to their original licences
• PsionOps may reference completed work in its portfolio unless the client requests otherwise in writing

⚖️ Limitation of Liability

PsionOps delivers professional services in good faith and to a high standard. However, liability is limited to the total value of fees paid for the specific project or service in question. PsionOps accepts no liability for indirect, consequential, or incidental damages arising from the use or non-use of delivered work.

• Maximum liability is capped at the total fees paid for the engagement in question
• No liability for third-party service outages, API changes, or platform failures beyond PsionOps's control
• No liability for client data loss where backups were the client's responsibility
• Services are delivered "as described," and PsionOps does not guarantee specific business outcomes

🌐 Privacy & Data Handling

PsionOps collects only the information necessary to deliver agreed services. Client information, including contact details, project details, and communications, is handled confidentially, is not sold or shared with third parties, and is retained only as long as required for business and legal compliance purposes.

• Contact information used solely for project communication and invoicing
• No personal data sold, rented, or disclosed to third parties without consent
• Clients may request deletion of their data at any time by contacting PsionOps in writing
• Any data processed on behalf of clients during a project is handled per the agreed scope only

🚫 Right to Refuse Service

PsionOps reserves the right to decline, pause, or terminate any engagement at its discretion. Circumstances that may result in work being declined or stopped include requests that are unlawful, unethical, involve the creation of harmful systems, or where the working relationship has broken down. In such cases, any work completed to date will be invoiced at the agreed rate.

PsionOps is committed to honest, transparent, and fair dealing in all engagements. We do not engage in bait-and-switch pricing, hidden fees, or misleading descriptions of service. Every client is entitled to a clear scope, an honest timeline, and direct communication throughout the project. If something goes wrong, we will say so and work to make it right.

• Pricing is always agreed in writing before work begins
• No hidden charges or surprise invoices
• If a project runs into problems, the client is informed promptly
• PsionOps does not discriminate on the basis of race, gender, nationality, religion, or any protected characteristic
